The company has entered into a non-binding term sheet in relation to a corporate transaction to acquire a company with a late-stage (Phase 2) asset in the chemotherapeutics sector. The Term Sheet provides for the parties to provide each other with a 90-day exclusivity period to conduct due diligence and negotiate formal agreements in respect of the transaction. Shareholders should be aware that there is no guarantee that formal agreements will be entered into, and that any transaction will be subject to ASX and shareholder approval, and the company re-complying with Chapters 1 and 2 of the ASX Listing Rules. The company is currently preparing an application to ASX to seek in-principle advice regarding the suitability of the business for listing.

In the course of seeking to address some of the issues raised by ASX in relation to the proposed acquisition of an Australian-based fintech business, the company has taken the following transactions: divestment of investment in NCX and termination of the contract with Paid by Coins. ASX advised the company that should it proceed with its application for re-admission of its securities in conjunction with the proposed acquisition in its current form, ASX is likely to exercise its discretion to reject the company's application. Given this advice, the company does not intend to pursue the proposed acquisition with the Target in its current form, and is currently exploring with the Target whether the transaction can be restructured to address the issues raised by ASX.
