DOCA executed by M8 Holding Limited on 1 June 2023, control and management of M8S and its wholly owned subsidiary, Fernview Environmental Pty Ltd has reverted to their respective directors. From Transfer of Control, the Deed Administrators role relates to the administration of the DOCA Fund only.

On Thursday, 1 June 2023, M8S executed the pooled Deed of Company Arrangement. Execution of the DOCA has the effect of appointing Rob Kirman, Rob Brauer and Jonathan Henry of McGrathNicol as Deed Administrators of M8S, and its wholly owned subsidiary, Fernview Environmental Pty Ltd. The Deed Administrators are responsible for the administration of the DOCA, whilst the Voluntary Administrators' appointment has come to an end.

The Administrators of M8S hereby give notice that they intend to rely on the relief set out in ASIC Corporations (Externally-Administered Bodies) Instrument 2015/251. All financial reporting obligations of M8S are deferred until: if the external administration ends prior to 13 August 2023 (inclusive), 6 months from the date of the appointment of the Administrators; or if the external administration extends beyond 13 August 2023, the earlier of: 24 months from the date of the appointment of the Administrators; and the day the external administration of M8S ends.

An application was made to the Federal Court of Australia to: extend the period in which to convene the second meeting of creditors of M8S and Fernview to 26 May 2023; and limit the administrators' personal liability with respect to a funding agreement to be entered into with Remagen Invest M8S. Various consequential orders were sought, including that the administrators were justified in signing the funding agreement.

The Administrators have received written notification from Adroit that, given the appointment of the Administrators amounted to a prescribed occurrence for the purposes of the Notice and the Offer, Adroit will not be proceeding with the Offer and that both the Offer and the Notice have been withdrawn.

On 22 December 2022 M8S received notices from M8 Holding Limited and Adroit Capital Group ESG Pty Ltd as trustee for the Adroit Capital Group ESG Unit Trust in which they proposed moving respective resolutions at a general meeting. On 12 January 2023 a general meeting of shareholders was convened for 16 February 2023. On 14 February 2023 the Administrators received notices from both Adroit and M8H withdrawing their respective 249D notices. The general meeting of shareholders convened for 16 February 2023 has now been cancelled.

The Administrators were appointed Voluntary Administrators of Fernview Environmental Pty Ltd, M8S' wholly owned subsidiary. The Administrators are undertaking an urgent assessment of M8S and Fernview and their businesses and assets, and intend to immediately explore options for the sale and/or recapitalisation of both entities. A first statutory meeting of creditors of Fernview must be held within eight business days after the administration begins and is expected to take place on or around 24 February 2023.

Jonathan Henry, Rob Kirman and Rob Brauer were appointed Voluntary Administrators of M8 Sustainable Limited on 13 February 2023.

The Administrators are undertaking an urgent assessment of M8S and its business and assets, and intend to immediately explore options for the sale and/or recapitalisation of M8S. A first statutory meeting of creditors must be held within eight business days after the administration begins and is expected to take place on 23 February 2023. Meeting notices setting out the time and location for the first meeting of creditors will be distributed to M8S' creditors over coming days.

The securities of M8 Sustainable Limited will be suspended from quotation immediately under Listing Rule 17.2, at the request of M8S, pending the release of an announcement regarding the $11 million loan facility with Remagen Capital Management Pty Ltd.

The suspension of trading in the securities of M8 Sustainable Limited will be lifted immediately following the release by M8S of an announcement regarding an alternative funding arrangement.
