The company has entered into a conditional share purchase agreement to acquire 100% of Mayfield Group Investments. The acquisition price is $25 million which represents a multiple of 6.2 times Mayfield's net profit after tax for the year ended 30 June 2019. The acquisition will be fully funded through the issue of new Stream shares. For the purposes of the Transaction, Stream will be valued at $5.65 million. A general meeting to obtain shareholder approval is expected to be held in midAugust 2020. Completion of the Transaction is expected in early September 2020. The Stream Board will be restructured with three representatives appointed by Mayfield and one current Stream director remaining.

The securities of Stream Group Limited will be suspended from quotation effective immediately under Listing Rule 17.2, at the request of SGO, pending an announcement to the market of a significant transaction requiring re-compliance with Chapters 1 and 2 of the ASX Listing Rules.

The Breach Options issued to Longreach Group Pty Limited were not exercised. The remaining Breach Options were exercised and ordinary shares were issued in breach of listing rule 10.11 as follows: 2,222,220 ordinary shares issued upon the exercise of 2,222,220 Breach Options to Notron. The issue of the Breach Options and the Breach Shares were in breach of listing rule 10.11 because Notron and Longreach Group Pty Limited are each related parties of the Company and the Company did not obtain prior shareholder approval for their issue. To remedy this, ASX requires the company to cancel or buy back the breach shares.

Stream Group advises that Symetri Limited has today completed the sale of its operating business and most of its assets. Stream expects to lodge all of its outstanding accounts including its accounts for the half year ended 31 December 2016 by 30 April 2017.

The company provides an update -- On completion of the agreement for the sale of the assets of Symetri Limited, the Company will have exited all of its claims management businesses. The company intends to continue to own and expand its remaining business, Symetri Technology. The Company expects to be in a position to lodge all of its outstanding accounts including its accounts for the half year ended 31 December 2016 by 31 March 2017.

The company's New Zealand subsidiary, Symetri Limited, has entered into an agreement into an agreement to sell its operating business and most of its assets. Symetri will retain its wholly owned subsidiary, Symetri Technology Ltd. The purchaser is Gallagher Basset.

Under listing rule 17.6, any entity (if not already suspended) that had not paid its annual listing fees by close of business on Monday 22 August 2016 will have its securities suspended from official quotation before the commencement of trading on Tuesday 23 August 2016. The company has not paid its annual listing fees in respect of the year ending 30 June 2017 but the securities are already suspended from official quotation.

Stream Group Ltd has now exited the remaining claims management businesses in Australia and the UK with the result that Symetri Ltd, is its only remaining business unit. Also it provides an update on Censeo, Steam Claims Services UK, its banking facilities (which totalled approximately $2.4 million at 31 December 2015 and were repaid in full on 31 May 2016), Stream Group Holdings, issue of convertible notes (which will mature on 31 December 2016 and will have a face value of $25,000 each, bear interest at the rate of 8.2% p.a. and be convertible into ordinary shares at a price of 4.5 cents per share), and its financial statements for the half year to 31 December 2015.

As previously advised, SGO's principal Australian business, Stream Group Aust Pty Ltd, was placed into voluntary administration in December 2015. SGA is now in the process of being liquidated.

Directors of the company have been pursuing a number of funding alternatives. Although SGO received funding commitments, the capital raising was contingent on Stream Group Aust Pty Ltd being able to extend its existing contract witih its largest Australian client. SGA has been in discussion with the client, but no extension to the contract was reached. The Board of SGA has resolved to place SGA into voluntary administration.

Stream Group Limited (ASX:SGO) ("Stream") will remain in voluntary suspension in its securities from ASX pending an announcement in relation to the completion of a capital raising previously announced on the 1st December 2015. The company expects to release a market announcement on or before Friday 11 December 2015.
